Who we are & who we serve

Is LawScription a full-service law firm?

LawScription provides comprehensive outside counsel for the legal needs growing businesses and nonprofits face day to day — contracts, compliance, corporate governance, and the strategic questions a general counsel handles. We call this approach Operations Law.

We also take on more expansive, bespoke work when clients need it — mergers and acquisitions, private placements and other financing transactions, and ongoing governance and industry-specific regulatory advice.

For areas we don’t practice directly, such as complex litigation or IP prosecution, we don’t hand you off and disappear — we coordinate and oversee trusted specialists so you keep one accountable point of contact. The result: our clients get the breadth of a legal department without the overhead of one.

Who is behind LawScription?

LawScription is the subscription and flat-fee legal service of Enterprise Legal Counsel LLC (also known as ProBiz Law), founded by attorney Robyn Davis. We serve small businesses, entrepreneurs, and nonprofits, with legal services available in New Jersey, Connecticut, and the District of Columbia.

Which states does LawScription serve?

LawScription is licensed to provide legal services in New Jersey, Connecticut, and the District of Columbia. If your business is based in another jurisdiction, please reach out anyway — we work with a network of affiliate firms and may be able to refer you to one that serves your state.

What’s the difference between Docs and Counsel plans?

Docs plans give you full document library access against a monthly value entitlement — ideal when your primary need is reliable, attorney-reviewed documents. Counsel plans add dedicated attorney hours each month for review, drafting, advising, and strategic support — ideal when you need an attorney relationship, not just documents.

When should I choose à la carte instead of a subscription?

À la carte makes sense for infrequent needs — one document, one review, one consultation — without ongoing legal work expected. Once you’re using LawScription more than once a quarter, a subscription typically delivers better value through bundled documents and subscriber discounts.

How commitment and fees work

How does the 3-month initial commitment work?

All subscriptions begin with a 3-month initial term, then continue month-to-month.

For all plans, the 3-month initial term is paid in full at signup. Subsequent months are billed monthly at the start of each month.

The 3-month commitment is not refundable. If you cancel before the end of the initial term, the remaining months are forfeited.

What is the onboarding fee?

The onboarding fee is a one-time $175 charge that compensates the firm for matter intake, conflicts clearance, identity verification, platform provisioning, configuration of client-specific document templates, and the initial diagnostic call. It is paid at enrollment and is fully earned upon completion of onboarding. The onboarding fee is separate from periodic subscription fees and is non-refundable.

How Plans Work

Document entitlements and attorney hours

What does “monthly document value entitlement” mean?

Each Docs and Counsel plan includes a set dollar value of documents per month from the LawScription library. Documents are priced at $95, $195, and $395 based on complexity. You can pull any combination of documents up to your monthly entitlement. Documents above your entitlement are billed at the same prices with your subscriber discount.

What counts as “attorney time” against my monthly hours?

Attorney time covers substantive work performed by an attorney for you — scheduled calls, advice and counsel, drafting and revision, review of documents and materials you provide, and strategic planning. Time is billed in 15-minute increments, rounded up.

Attorney review of documents you pull from the LawScription library is included in your document entitlement and does not count against your monthly attorney hours.

What if my legal needs grow beyond a subscription plan?

The model is built to grow with you. Beyond the subscription tiers, LawScription offers fractional general counsel for businesses with small in-house legal teams and established nonprofits, à la carte project work for one-off matters, and dedicated engagements for more expansive, bespoke work — mergers and acquisitions, private placements and other financing transactions, and ongoing governance and industry-specific regulatory counsel.

As your needs expand, your engagement expands with you — you don’t outgrow LawScription and start over with a new firm.

Are documents customized for my state?

Yes. Every document is customized for your jurisdiction, business type, and specific situation before delivery.

What about matters that fall outside the subscription scope?

Counsel subscribers can use their attorney hours flexibly across review, drafting, advice, and strategy. For more expansive, bespoke work — mergers and acquisitions, private placements and other financing transactions, ongoing governance and industry-specific regulatory counsel — we scope a dedicated engagement tailored to the matter. For areas we don’t practice directly, such as litigation or IP prosecution, we coordinate the right specialist so you keep a single point of contact.

Changes & Cancellation

Upgrading, downgrading, and ending your subscription

Can I upgrade or downgrade between plans?

Yes. Upgrades can be made at any time, including during your 3-month initial term, and take effect immediately. Downgrades take effect at the start of the next monthly billing cycle and are only available after your initial term has ended.

When you upgrade within the same product line — Docs to Docs Plus, or Counsel to Counsel Plus — your existing 3-month commitment clock continues from your original start date; no new initial term begins. You pay the prorated difference between your current and new tier for the time remaining in your current billing period. Your monthly document and attorney-hour entitlements adjust to the new tier’s rate from the date of upgrade. No additional onboarding fee applies.

When you upgrade across product lines — Docs to Counsel — a new 3-month initial term begins on the date of the upgrade. The new initial term is paid in full at upgrade. If you upgrade during a current Docs initial term, the prorated unused value of your prior plan is credited toward the new initial term payment. No additional onboarding fee applies for the upgrade.

Downgrades are not available during the initial term. After your initial term ends, you may downgrade at any monthly renewal, effective at the start of the next monthly billing cycle.

What happens when I cancel my subscription?

You may cancel your subscription at any time, including during the 3-month initial term. Cancellation methods are described in your engagement letter — typically email to our cancellation address or the in-product cancellation control.

If you cancel during the 3-month initial term: cancellation is effective at the end of the initial term. Subscription fees for the initial term, paid in full at signup, are non-refundable. Cancellation during the initial term does not entitle you to a refund of those fees.

If you cancel after your initial term ends: cancellation is effective at the end of your then-current monthly billing period. Subscription fees for any month that has already begun are non-refundable. We will not bill you for any month that begins after your cancellation effective date.

Through your cancellation effective date, you may continue to use the attorney hours and document entitlements included in your plan. Any unused attorney hours and any unused document entitlement expire on your cancellation effective date. Unused entitlements have no cash value and are not refunded.

The $175 onboarding fee is paid at enrollment and is non-refundable.

Your client file is available upon request after cancellation, as described in your engagement letter.
